Template Service Description
The Template Service is a value-added offering governed by Proof's General Terms that automates transaction preparation by using subscriber-provided, sanitized, first-generation or searchable PDF sample documents to create standardized, automatically tagged templates, with subscriber collaboration and quality testing to ensure timely and minimal human interaction in document processing.
Overview
The Template Service ("Template Service") is a value-added service designed to ensure transactions are prepared with minimal human interaction and in a timely manner. This description outlines the Template Service in detail. The performance of the Template Service is governed by the Proof General Terms. Capitalized terms not otherwise defined have the meanings given in the General Terms, the Proof Glossary, or this Template Service Description. If a Subscriber has a separately negotiated agreement in lieu of the General Terms, that agreement governs the Template Service.
Approach and Activities for the Template Service
The following approach and activities are included within the scope of the Template Service. Not all activities will necessarily be performed.
Scope
- Subscriber agrees to provide Proof with sample documents. All personally identifiable information and other sensitive information must be removed before providing the sample documents to Proof. Proof is not liable for any personally identifiable information or sensitive information not properly removed.
- Subscriber will initiate a Template request via methods designated by Proof and communicated to Subscriber (each a "Template Request"). "Templates" are standardized files formatted to automatically tag commonly used documents.
- Subscriber agrees to include any document tagging-specific execution requirements as part of the Template Request.
- All sample documents provided to Proof must meet the following requirements:
- Must be a first generation or searchable .pdf file.
- Proof will not accept scanned, non-searchable documents or any documents with handwritten information.
- Subscriber will make a person reasonably available to answer questions regarding the sample documents to ensure Proof has the information necessary to prepare the Template.
- Standard tags and document requirements will be applied.
- Proof will test each Template to ensure quality prior to Subscriber use.
- Proof will upload Templates to Subscriber’s account and create the library of Templates. Subscriber grants Proof the right to enter Subscriber’s account for these purposes.
- If Subscriber needs to make a change to a Template in the Template library, the request for a modification will be treated as a request for a new Template and may incur an additional fee as described in the Order Form.
How The Service Works
- Subscriber may request additional Templates at any time and may incur an additional fee as described in the Order Form.
- Subscriber agrees to provide document samples as follows:
- When document wording, layout, or page length changes
- When new documents are going to be used
- Upon request from Proof
- Proof will apply standard tags as applicable:
- Signer tags: signature, date, fill in here, and checkbox
- Notary tags: state, county, signature, commission expiration, seal, and disclosure
- Witness tags: signature, date, fill in here (Subscriber will provide specific instructions if witness tags are not to be used on documents that have a witness section)
- Proof will apply standard document requirements:
- Sign requirement will be used for all documents requiring action of the signer
- Annotation requirement will be used if document requires signer to fill in any information
- Notary requirement will be used if the document requires action from the Notary
- Witness requirement will be used if a witness section is part of the document (unless specifically directed differently by the Subscriber)
- Proof will perform final testing in a testing environment against provided sample documents to ensure quality.
- Proof will import created Templates into the Subscriber’s account, creating a library of Templates.
Disclaimer
Proof is not responsible for the accuracy or completeness of the contents of the document, or anything outside of the described Template Service. Service levels exclude files placed on hold due to nonstandard submissions requiring external communication.
Warranty
The Template Service will be performed in a professional and workmanlike manner. Proof will operate and provide the Template Service during business hours of 8 AM to 5 PM Eastern Time, Monday to Friday, excluding holidays, using commercially reasonable efforts to resolve any issues related to the objectives outlined in this Template Service Description. Proof does not warrant the results that may be obtained upon completion of the Template Service or from Subscriber’s use of the Template Service.
Ownership
Except for the rights expressly granted under this Template Service Description, Proof retains all right, title, and interest in and to the Template Service, including all related intellectual property rights. Proof will own all rights, title, and interest in any work product produced as part of the Template Service ("Work Product"), including all intellectual property rights. Proof grants to Subscriber a worldwide, non-exclusive, non-transferable, non-sublicensable right to use the Work Product solely for Subscriber’s internal business purpose and solely with the Template Service separately licensed.
Incident Priority Levels
Priority Level | Conditions
- Level 1: Critical Business Impact. The Incident seriously affects the functionality of the Services (or component thereof) and cannot be circumvented such that most of the significant functionality of the Services (or component thereof) is available.
- Level 2: Significant Business Impact. The Incident partially affects the functionality of the Services (or component thereof), but can be circumvented so that most of the significant functionality of the Services (or component thereof) is available.
- Level 3: Minimal Business Impact. The Incident can be circumvented such that the Services (or component thereof) can be used with only slight inconvenience. The problem can be considered insignificant and has no significant effect on the usability of the Services (or component thereof).
Conditions for Closure of Help-Desk Ticket
- Level 1: The Incident is considered resolved and closed when an Incident Resolution has been fully implemented.
- Level 2: The Incident is considered resolved and closed when an Incident Resolution has been fully implemented.
- Level 3: The Incident is considered resolved and closed when one of the following occurs: (i) an Incident Resolution has been fully implemented, or (ii) 10 business days have elapsed since Proof’s communication of the information that Proof reasonably believes will resolve the Incident (communicated by email to Subscriber’s designated contact for such Incident), and Subscriber has not responded to Proof. The Incident can be reopened later if it has not been resolved.
